Key Responsibilities
Advising on a wide range of commercial and corporate matters, including:
Company incorporations, migrations, restorations and liquidations
Drafting, reviewing and negotiating commercial contracts (e.g. supply agreements, service contracts, licensing)
Drafting loan agreements, novations, corporate leases, and assignments
Supporting clients on employment matters such as contracts, policies and corporate governance
Providing legal guidance on company constitutional documents (e.g. Articles of Incorporation, shareholder agreements, foundation and charity rules and charters)
Acting in a company secretarial capacity for corporate clients, including statutory compliance and filings.
Supporting M&A and corporate restructuring transactions.
Liaising with regulators and registries on compliance, licensing, and procedural matters.
Advising on trust and private client matters
Contributing to business development initiatives and maintaining strong client relationships.
Advising on IP-related matters.
Job Requirements:
Qualified solicitor or barrister (Commonwealth or equivalent jurisdiction) with 3 – 7 years’ PQE.
Experience in corporate and commercial law, ideally including some offshore, international or cross-border work.
Strong drafting skills with attention to detail.
Proactive, solution-focused and commercially aware.
Ability to work independently and as part of a collaborative team.
Strong communication skills.
Trusts or IP experience is advantageous.
Willingness to relocate to Guernsey if not already based locally (relocation support may be provided).
